Job Description

Key Responsibilities:

1. Corporate and Commercial Legal Support:

• Provide comprehensive legal support on corporate and commercial matters, including drafting, reviewing, and negotiating contracts related to asset management and family office transactions.

2. Transactions and Property Acquisition Legal Support:

• Offer legal expertise for M&A, private equity, venture capital investments, and property acquisitions.

• Design and establish corporate and transaction structures, draft and review legal documents, and supervise and coordinate with external law firms.

3. Management Team and Family Office Advisory:

• Advise the management team and family office members on personal legal matters and corporate structures, ensuring alignment with relevant legal and regulatory frameworks.

4. License and Regulatory Compliance:

• Manage license applications and oversee regulatory compliance to ensure adherence to U.S. federal and state laws and regulations.

5. Legal Risk Management:

• Identify and assess legal risks related to investment transactions, designing risk mitigation strategies to safeguard asset security while maintaining compliance with all legal requirements.

6. Governance and Corporate Structure:

• Oversee corporate governance practices, including board documentation, company secretarial duties, and structuring of family office investments to ensure proper compliance and governance.

7. Stakeholder Relations:

• Collaborate with internal stakeholders, external advisors, and regulatory authorities to ensure smooth legal operations and compliance with asset management and family office standards.

8. Data Privacy, Intellectual Property, and Tax Considerations:

• Provide guidance on data privacy, intellectual property, and tax implications, ensuring legal compliance and protection of company assets.

Qualifications:

1. Education:

• Juris Doctor degree from a reputable law school.

2. Licensing and Certification:

• Qualified to practice law in California.

3. Professional Experience:

• A minimum of 5 years of post-qualification legal experience.

• Experience working in a top-tier law firm, with recent in-house experience in asset management or Web3 companies preferred.

4. Specialized Expertise:

• Strong background in M&A, venture capital, and private equity investments, as well as asset management and Web3-related legal matters.

• Familiarity with financial regulations and proven ability to handle license applications and compliance issues.

5. Language Skills:

• Fluency in both written and spoken English and Mandarin is required, to effectively communicate with key stakeholders in Mandarin-speaking regions.

6. Technical and Analytical Skills:

• Exceptional analytical abilities with attention to detail and accuracy.

• Strong interpersonal skills and the ability to collaborate effectively across diverse teams.

Preferred Qualifications:

• Experience advising family offices or managing multi-jurisdictional legal matters.

• Deep understanding of legal and regulatory challenges in the digital asset and blockchain space.
